Master Agreement Governing Use of the Buyant Platform

Welcome to Buyant. These Terms of Service (the “Terms”) form a binding legal agreement between you (“you,” “your,” or “User”) and Buyant, a company incorporated under the laws of the Federal Republic of Nigeria with its registered office at Suite 1 National Centre for Women Development, Opposite CBN, Central Business District, Abuja (“Buyant,” “we,” “us,” or “our”), governing your access to and use of the Buyant platform and services.

By creating an account, accessing the Platform, or participating in any Rally, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, our Cancellation & Refund Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not use the Platform.

Read Carefully

These Terms contain important provisions, including how funds are held in escrow, how refunds are processed, how disputes are resolved, and limitations on our liability. By using Buyant, you accept these terms in full.

1. Definitions

In these Terms, the following words have the meanings stated:

  • "Backer" means a User who commits funds to a Rally.
  • "Captain" means a verified User authorized by Buyant to launch and lead Rally campaigns.
  • "Deliverables" means the products supplied to Backers following a successful Rally.
  • "Hub" means the designated warehouse facility (in Lagos at launch) where Deliverables are received and made available for collection.
  • "Manufacturer" means a verified third-party supplier whose products are featured on the Platform.
  • "MOQ" means the Minimum Order Quantity required by a Manufacturer to fulfil a production order.
  • "Pay Now" means full upfront payment into escrow at the time of backing a Rally.
  • "Platform" means the Buyant website, mobile-optimized web application, and any related applications, services, or content provided by Buyant.
  • "Rally" means a time-bound, group-buy campaign for a specific product, governed by these Terms.
  • "Reserve" means a payment option permitting a Backer to commit to a Rally by paying a deposit, with the balance due upon goods arrival, as further defined in Clause 6.
  • "Services" means all features, functions, and services provided by Buyant through the Platform.
  • "User" means any individual or business that accesses or uses the Platform.

2. Eligibility and Registration

2.1 Eligibility. You must be at least eighteen (18) years of age and legally capable of entering binding contracts under the laws of your jurisdiction. By using the Platform, you confirm that you meet these requirements.

2.2 Account Registration. To use most Platform features, you must register an account by providing accurate and current information, including your phone number, name, email, and where requested, your business details. You consent to receive a one-time password (OTP) via SMS for verification purposes.

2.3 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You agree to notify Buyant immediately of any unauthorized access or suspected breach. Buyant is not liable for any loss or damage arising from your failure to safeguard your account.

2.4 Accurate Information. You agree to provide truthful, accurate, current, and complete information during registration and to update such information promptly when it changes. Buyant may suspend or terminate accounts containing false, misleading, or fraudulent information.

2.5 One Account per User. Each User may maintain only one active account, except where Buyant expressly permits otherwise.

3. The Buyant Platform

3.1 Nature of Service. Buyant operates a consumer-to-manufacturer (C2M) social procurement platform that aggregates demand from small and medium businesses through time-bound group-buy campaigns called Rallies. Buyant facilitates the connection between Backers and Manufacturers, manages payment and escrow, coordinates logistics, and oversees fulfilment.

3.2 Platform Role. Buyant acts as a facilitator and service provider. While Buyant verifies Manufacturers and oversees quality inspection, Buyant is not the manufacturer of any product offered through a Rally. Manufacturers retain responsibility for product specification, production, and warranty obligations as set out at the Rally page or in product documentation.

3.3 No Guarantee of Rally Success. Each Rally is conditional upon meeting its Minimum Order Quantity (MOQ) within the Rally’s time window. Buyant does not guarantee that any Rally will reach its MOQ or that any specific product will become available.

3.4 Platform Modifications. Buyant reserves the right to modify, suspend, or discontinue any Platform feature or service at any time, with or without notice, where reasonable to do so for operational, legal, security, or commercial reasons.

4. Rallies and Backing

4.1 How a Rally Works. Each Rally features a product, a Manufacturer, an MOQ target, a duration, and tiered pricing that decreases as more units are committed. When a Rally reaches its MOQ within the Rally window, the Rally is deemed successful and proceeds to fulfilment. If a Rally does not reach its MOQ within the window, the Rally fails and all committed funds are refunded under Clause 5.

4.2 Backing a Rally. To back a Rally, you must select a quantity, choose a payment option (Pay Now or Reserve), and complete payment as instructed on the Platform. Your commitment is binding upon successful payment confirmation.

4.3 Pricing. Rally prices are denominated in United States Dollars (USD) and displayed with an estimated Naira equivalent. The final Naira amount payable is calculated and confirmed at the moment of payment based on the prevailing exchange rate. You acknowledge and accept the risk of currency fluctuation between the time of viewing a Rally and the time of payment.

4.4 Pioneer and Early Backer Benefits. The first 5% of Backers (by units committed) on a Pay Now basis are designated “Pioneer Backers” and the next 15% are designated “Early Backers,” each receiving the benefits described on the Platform. These benefits are available exclusively to Pay Now Backers and are not available to Reserve Backers.

4.5 Backer Cancellation. You may cancel a backing while its Rally round is still open and has not reached MOQ. Once MOQ is reached, or funds have been released toward fulfilment, cancellation is no longer available except as expressly provided in these Terms or in the Cancellation & Refund Policy.

5. Escrow and Refunds

5.1 Escrow Holding. All payments made by Backers are held in escrow through Buyant’s licensed payment partner until the Rally outcome is determined. Funds are not released to Buyant or to the Manufacturer until the Rally has reached its MOQ and the conditions for release are met.

5.2 Refund on Rally Failure. If a Rally fails to reach its MOQ within its time window, your full payment will be automatically refunded to your original payment method. Refunds are typically processed within seventy-two (72) hours of Rally closure, subject to the processing time of your bank or payment provider.

5.3 No Deductions. Refunds for failed Rallies are issued in full, without administrative fees, processing deductions, or service charges.

5.4 Refund Limitations. Refunds for any reason other than Rally failure or eligible pre-MOQ cancellation (including but not limited to product defects, shipping delays, or buyer remorse) are governed by the Cancellation & Refund Policy. By backing a Rally, you accept that policy in full.

6. The Reserve Option

IMPORTANT — RESERVE TERMS

If you choose the Reserve option, you agree to specific terms that differ from Pay Now backing. Please read this section carefully before selecting Reserve.

6.1 How Reserve Works. The Reserve option permits you to back a Rally by paying a thirty percent (30%) deposit at the time of commitment, with the remaining balance due upon arrival of the Deliverables at the Hub. The total Reserve price is twenty percent (20%) higher than the Pay Now price for the same Rally.

6.2 Deposit Status Before Rally Closes. While the Rally remains open and unsuccessful, your 30% Reserve deposit is held in escrow and is fully refundable if the Rally fails to meet its MOQ.

6.3 Deposit Becomes Non-Refundable. Upon the Rally reaching its MOQ and Buyant placing the production order with the Manufacturer, your 30% deposit becomes non-refundable. By selecting Reserve, you expressly acknowledge and accept this condition.

6.4 Balance Payment. When the Deliverables arrive at the Hub, you will be notified through the Platform and via WhatsApp. You must pay the remaining balance within seven (7) days of such notification in order to take delivery.

6.5 Default. If you fail to pay the balance within the 7-day window, you will be deemed in default. Your 30% deposit will be forfeited, and your allocated units will be transferred to the Surplus Pool for resale to other Backers, with no further obligation owed by Buyant to you.

6.6 Buyant Capital and Resale. You acknowledge that Buyant uses its own working capital to cover the balance owed by Reserve Backers in order to fulfil the production order with the Manufacturer. The 20% premium charged on the Reserve price reflects, in part, the cost of this financing arrangement. In the event of default under Clause 6.5, Buyant retains full ownership of the affected units and may resell them at any price.

6.7 Reserve Slot Limits. Reserve commitments are capped at twenty percent (20%) of total Rally units. Where Reserve slots are full, additional Reserve interest may be placed on a waitlist.

7. Fulfilment, Collection, and Defects

7.1 Production and Inspection. Following Rally success, the Manufacturer will commence production. Prior to shipment, an independent third-party agency engaged by Buyant will inspect the goods. Buyant reserves the right to reject defective items and require replacement before shipment.

7.2 Shipping and Customs. Buyant will coordinate consolidated shipping from the Manufacturer to the Hub. Estimated timelines for production, inspection, shipping, and customs clearance are stated on the Rally page; however, such timelines are estimates only and may be affected by factors outside Buyant’s reasonable control.

7.3 Pickup at Hub. When Deliverables arrive at the Hub, you will be notified. You must collect your units within the pickup window stated in such notification. Pickup priority is sequenced as follows: Pioneer Backers first, Early Backers second, general Pay Now Backers thereafter, and Reserve Backers upon payment of the outstanding balance.

7.4 Identification. On collection, you must present a valid government-issued ID and proof of your Buyant account. Buyant may decline to release Deliverables where identity cannot be reasonably verified.

7.5 Uncollected Goods. Goods not collected within thirty (30) days of arrival at the Hub may, at Buyant’s discretion, be moved to alternative storage at your cost or, after sixty (60) days and reasonable notice, treated as abandoned and disposed of, with no refund or compensation due to you.

7.6 Defects on Receipt. You must inspect Deliverables on collection. Any visible defects must be reported to Buyant within seventy-two (72) hours of collection. Hidden manufacturing defects must be reported within fourteen (14) days. Reports made outside these periods may be declined.

7.7 Manufacturer Warranty. Where a Manufacturer warranty applies, the terms and duration are as stated on the Rally page. Buyant will assist in coordinating warranty claims but is not itself the warrantor.

8. User Obligations and Acceptable Use

8.1 Lawful Use. You agree to use the Platform only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

8.2 Prohibited Conduct. You shall not, and shall not permit any third party to:

  • Provide false, misleading, or fraudulent information at registration or during any transaction.
  • Use the Platform to engage in money laundering, terrorism financing, or any other illegal financial activity.
  • Make multiple commitments with intent to default or manipulate Rally outcomes.
  • Create fake referrals, sham backings, or artificially inflate Rally activity.
  • Reverse-engineer, decompile, scrape, or extract data from the Platform without express written permission.
  • Use the Platform to send spam, malware, or other harmful content.
  • Impersonate any other person or entity or misrepresent your affiliation with any person or entity.
  • Bypass or circumvent any access restrictions, security measures, or rate limits.
  • Use the Platform to compete with Buyant or to develop a similar service.

8.3 Consequences of Breach. Buyant may, in its sole discretion, suspend or terminate your account, withhold or reverse payments, refuse Deliverables, and pursue any other legal or equitable remedy in the event of any breach of this Clause 8.

9. Rally Captains

9.1 Captain Status. Captains are Users specifically authorised by Buyant to launch and champion Rally campaigns. Captain status is subject to a separate Rally Captain Agreement governing additional rights and obligations.

9.2 Captain Conduct. Captains must comply with the Captain Code of Conduct, including standards of communication, prohibition on personal markups, and disclosure of Captain status. Buyant may revoke Captain status at any time for breach.

9.3 No Endorsement of Captain Statements. Captains may make statements and create content in promoting Rallies. Buyant does not endorse or warrant the accuracy of such statements beyond the verified Rally page content. Backers should rely on the official Rally page for product information.

10. Payments and Fees

10.1 Payment Methods. Payments may be made through the methods supported on the Platform from time to time, including bank transfer, debit card, and USSD, processed by our licensed payment partner.

10.2 Buyant Fee. The price displayed on each Rally page includes the factory price, the Buyant service fee, estimated shipping and customs, and any other components clearly itemised. By backing a Rally, you agree to pay the total displayed price, payable at the prevailing exchange rate at the time of payment.

10.3 Currency Conversion. Payments are collected in Naira based on the USD-equivalent Rally price. Buyant may include a currency conversion margin within the displayed price.

10.4 Taxes. All applicable taxes, duties, and statutory charges are included in the displayed Rally price unless stated otherwise. You are responsible for any taxes that may apply to your own use, resale, or onward distribution of the Deliverables.

11. Intellectual Property

11.1 Buyant Ownership. The Platform and all its content, including software, design, text, graphics, logos, the “Buyant” name and brand, the “Rally” mechanism, and all related intellectual property, are the exclusive property of Buyant or its licensors. Nothing in these Terms grants you any ownership interest in any of the foregoing.

11.2 Limited User License. Buyant grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purposes set out in these Terms.

11.3 User Content. Where you submit content to the Platform (including reviews, requests, or messages), you grant Buyant a worldwide, royalty-free, perpetual licence to use, reproduce, modify, and display such content in connection with the operation and promotion of the Platform.

11.4 Restrictions. You shall not copy, modify, distribute, sell, lease, sub-license, or create derivative works of the Platform or any part thereof, save as expressly permitted in these Terms.

12. Privacy and Data Protection

12.1 Privacy Policy. Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how Buyant collects, uses, stores, and protects your personal data, in accordance with the Nigeria Data Protection Regulation (NDPR) and other applicable laws.

12.2 Communications. By creating an account, you consent to receive transactional communications from Buyant by SMS, WhatsApp, email, and in-app notification. You may opt in or out of marketing communications at any time through your account settings.

13. Disclaimers

LIMITATION NOTICE

To the fullest extent permitted by Nigerian law, Buyant excludes all warranties not expressly stated in these Terms. Please read the following carefully.

13.1 “As Is” Provision. The Platform is provided on an “as is” and “as available” basis. Buyant makes no warranties or representations, express or implied, regarding the operation, accuracy, reliability, or availability of the Platform, except as expressly set out in these Terms.

13.2 No Manufacturer Warranty by Buyant. Buyant does not warrant or guarantee the performance, durability, or suitability of any product offered by a Manufacturer through a Rally. All product warranties are provided by the Manufacturer subject to their own terms.

13.3 Estimates. Timelines, prices, and currency equivalents shown on the Platform are estimates and subject to change in accordance with these Terms.

13.4 Captain Verified Badge. The “Buyant Verified” designation indicates that Buyant has conducted reasonable due diligence on a Manufacturer or Captain. It does not constitute an absolute warranty of quality, performance, or conduct.

14. Limitation of Liability

14.1 Cap on Liability. To the fullest extent permitted by law, Buyant’s total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform shall not exceed the total amount paid by you to Buyant in connection with the specific Rally giving rise to the claim, or one hundred thousand Naira (₦100,000), whichever is greater.

14.2 Excluded Damages. Buyant shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profit, loss of business opportunity, loss of goodwill, or loss of data, even if Buyant has been advised of the possibility of such damages.

14.3 Force Majeure. Buyant shall not be liable for any failure or delay in the performance of its obligations caused by events beyond its reasonable control, including but not limited to acts of God, government action, port closures, strikes, war, civil unrest, pandemic, or failure of third-party providers.

14.4 Statutory Rights Preserved. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death, personal injury caused by negligence, or fraud.

15. Indemnity

You agree to indemnify, defend, and hold harmless Buyant, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (i) your breach of these Terms; (ii) your violation of any law or the rights of any third party; (iii) any false, fraudulent, or misleading information you provide; (iv) any content you submit to the Platform; or (v) any misuse of the Platform by you or anyone using your account.

16. Suspension and Termination

16.1 Termination by You. You may terminate your account at any time by following the closure procedure on the Platform or by written notice to Buyant. Termination does not affect any pending Rally commitments, refund obligations, or accrued rights and liabilities.

16.2 Suspension or Termination by Buyant. Buyant may, at its sole discretion and with or without notice, suspend or terminate your account, restrict your access to the Platform, withhold payments, or refuse Deliverables, where Buyant reasonably believes that:

  • You have breached these Terms or any other Buyant policy.
  • You have engaged in fraudulent, unlawful, or harmful conduct.
  • Continued use poses a security, legal, or reputational risk to Buyant.
  • Required by law, regulator, or court order.

16.3 Effect of Termination. Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms which by their nature survive termination, including those relating to intellectual property, confidentiality, indemnity, limitation of liability, and dispute resolution, shall continue in full force and effect.

17. Changes to These Terms

17.1 Right to Modify. Buyant may amend these Terms at any time. Where amendments are material, Buyant will give reasonable advance notice through the Platform, by email, or by WhatsApp.

17.2 Continued Use as Acceptance. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not accept any amendment, you must cease use of the Platform and may close your account.

17.3 Existing Rallies. Material amendments shall apply to new Rallies launched after the effective date. Existing Rallies in progress at the time of an amendment shall continue under the Terms in effect at the time of backing, save where the amendment is required by law or regulator.

18. Dispute Resolution

18.1 Good Faith Resolution. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, you agree to first contact Buyant at the email address [support@buyant.com] and to attempt in good faith to resolve the dispute through informal negotiation.

18.2 Escalation to Arbitration. If the dispute is not resolved within thirty (30) days of first written notice, either party may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act (Cap. A18, Laws of the Federation of Nigeria). The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, or failing agreement, by the Chairman of the Chartered Institute of Arbitrators (Nigeria Branch). The seat of arbitration shall be Lagos, Nigeria. The language shall be English. The arbitrator’s decision shall be final and binding.

18.3 Jurisdiction. Subject to Clause 18.2, the courts of Lagos, Nigeria shall have exclusive jurisdiction over any matter not subject to arbitration.

18.4 No Class Actions. To the fullest extent permitted by law, you agree to bring claims against Buyant only in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.

19. General Provisions

19.1 Entire Agreement. These Terms, together with the Privacy Policy, Cancellation & Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Buyant relating to the Platform and supersede all prior agreements and understandings.

19.2 Governing Law. These Terms are governed by, and shall be interpreted in accordance with, the laws of the Federal Republic of Nigeria.

19.3 Severability. If any provision of these Terms is held by a court or arbitrator to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall continue in full force and effect.

19.4 No Waiver. No failure or delay by Buyant in enforcing any provision of these Terms shall constitute a waiver of that provision or of any other provision.

19.5 Assignment. You may not assign or transfer your rights or obligations under these Terms without Buyant’s prior written consent. Buyant may assign these Terms in whole or in part to any affiliate or successor entity without notice or consent.

19.6 Independent Parties. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Buyant. Neither party has authority to bind the other.

19.7 Notices. All notices to Buyant under these Terms must be sent to support@buyant.com or to our registered office address. Notices to you may be sent to the email or WhatsApp number associated with your account.

19.8 Headings. Headings in these Terms are for convenience only and shall not affect interpretation.

19.9 Language. These Terms are issued in English. Any translation is provided for convenience only, and the English version shall prevail in the event of conflict.
